White & Case Advises Trinidad on Atlantic LNG Heads of Agreement Deal

(White & Case, 27.Jan.2022) — Global law firm White & Case LLP has advised the Government of the Republic of Trinidad and Tobago, acting through the Ministry of Energy and Energy Industries, on a Heads of Agreement (“HOA”) for the restructuring of Atlantic LNG, one of largest exporters of LNG in the world. 

The restructuring will ensure that Atlantic continues to operate as a world class LNG facility in a globally competitive LNG environment. The Atlantic LNG facility currently comprises multiple liquefaction trains, each with different shareholder structures and commercial arrangements. This milestone agreement follows years of complex negotiations to bring the facilities under the framework of a single ownership structure. 

Affiliates of BP, Shell Trinidad and Tobago Limited and The National Gas Company of Trinidad and Tobago Limited (as shareholders in Atlantic LNG) also executed the HOA. The proposed date for completion and execution of the definitive restructuring agreements contemplated by the HOA is 30 June 2022.
