Petrobras Clarifies News In ‘Folha de São Paulo’

(Petrobras, 26.Aug.2019) — Petrobras reports that it received the Official Letter No. 269/2019/CVM/SEP/GEA-1, which requests the following clarification:

“Dear Executive Officer,

1. We refer to the news published today, in the newspaper ‘Folha de São Paulo’, ‘Poder’ section, under the title: “‘Press commits suicide and is ending,’ says Bolsonaro”, which contains the following statements: At this Thursday’s meeting, Bolsonaro simulated a conversation with Petrobras’ CEO Roberto Castello Branco.

“Do you know what I can do? I call the Petrobras’ CEO: come here, hey, Castello Branco. You will show your balance sheet this year in the newspaper ‘O Globo’. ‘But, president, newspaper and commission will cost 10 million.’ ‘Hey man, it’s Globo.’ Can I do it or not? Twenty pages of newspapers for that,’ he said.”

2. In this regard, we request this company to clarify (and may refer to public documents already disclosed) its governance in the relationship with its controlling shareholder, in light of the duties and responsibilities of officers and controllers provided for in Law No. 6404/76.”

Clarification

Petrobras clarifies that it has not received any communication from its controlling shareholder with content similar to the conversation simulated in the article mentioned in the Official Letter.

The company’s relationship with its controlling shareholder is based on applicable rules, as widely disclosed to the market, and its decisions are taken in the best interest of its shareholders and other stakeholders.

Finally, the company points out that it has been standing out in recent years for its corporate governance rules and reaffirms its commitment to adopt best market practices on the subject.
