(Maersk, 13.Sep.2022) — Pursuant to Sections 30 and 38 of the Danish Capital Markets Act and Section 55 of the Danish Companies Act, The Drilling Company of 1972 A/S (“Maersk Drilling”) hereby announces receipt of the following notifications following the announcement of the preliminary results of the recommended voluntary public share exchange offer by Noble Corporation plc (the “Exchange Offer”):

On 13 September 2022, Noble Corporation plc has, on behalf of itself and its ultimate owner Noble Corporation, notified Maersk Drilling that upon completion of the Exchange Offer expected on 3 October 2022, it will hold 37,266,530 shares in Maersk Drilling corresponding to 90.03% of the voting rights and total share capital in Maersk Drilling, excluding treasury shares (89.73% including treasury shares). Noble Corporation plc is wholly owned by Noble Corporation 2022 Limited, which is wholly owned by Noble Finance Company, which is wholly owned by Noble Corporation.

On 13 September 2022, APMH INVEST A/S has, on behalf of itself and its ultimate owner A.P. MØLLER OG HUSTRU CHASTINE MC-KINNEY MØLLERS FOND TIL ALMENE FORMAAL, notified Maersk Drilling that upon completion of the Exchange Offer expected on 3 October 2022, APMH INVEST A/S will no longer hold any shares in Maersk Drilling. APMH INVEST A/S is wholly owned by A.P. MØLLER HOLDING A/S, which is wholly owned by A.P. MØLLER OG HUSTRU CHASTINE MC-KINNEY MØLLERS FOND TIL ALMENE FORMAAL.

On 13 September 2022, A.P. Møller og Hustru Chastine Mc-Kinney Møllers Familiefond has notified Maersk Drilling that upon completion of the Exchange Offer expected on 3 October 2022, it will no longer hold any shares in Maersk Drilling.
